Code of Ethics of SATES ČECHY s.r.o.

I. Preamble – Company core values and the aim of the Code of Ethics

“Among the core values of SATES ČECHY s.r.o. are mutual esteem, trust, respect, courtesy, reliability, transparent conduct, and adherence to high standards of professionalism, in relation to employees, business partners, customers, suppliers, investors, and the public.”

The aim of this Code of Ethics is to achieve:

• in relation to employees: a positive working environment with a friendly atmosphere and zero tolerance of any form of discrimination, while supporting the personal and professional development of our employees;

• in relation to business partners and customers: long-term partnerships based on mutual trust, respect, and professionalism;

• in relation to the public: strengthening and maintaining the good name and reputation of a socially responsible company.

II. Company principles in relation to employees

• equal treatment of all employees regardless of race, ethnic origin, sex, nationality, religion, age, sexual identity, or other distinguishing characteristics;
• zero tolerance of any form of harassment, humiliation, sexual coercion, or intimidation;
• emphasis on creating a welcoming and dignified working environment;
• support for further professional and personal development of employees;
• keeping employees informed about the company’s objectives;
• ensuring fair working conditions and occupational safety for all employees;
• paying wages on time.

III. Standards of employee conduct

SATES ČECHY s.r.o. requires its employees to follow the principles of conduct below:

In the area of interpersonal relations:

• Respect human rights and fundamental freedoms.
• Apply collegiality and cooperation in our conduct.
• Show mutual respect and behave with courtesy towards colleagues.
• Observe general standards of decency, good morals, and honest conduct.
• Any critical feedback towards colleagues shall be provided factually, fairly, and based on objective grounds.
• Maintain an equal approach under all circumstances to other employees and any persons with whom an employee comes into contact while performing work duties, regardless of their race, ethnic origin, sex, nationality, religion or ideology, disability, age, or sexual identity.
• Acknowledge that any form of harassment, humiliation, sexual coercion, or intimidation—whether physical or verbal—is absolutely unacceptable.
• Only advertising and promotional materials may be given or accepted. In case of doubt, consult the relevant superior body.

In the area of compliance with legal regulations and other binding rules

• In all areas of work activity, comply with generally binding legal regulations (laws, decrees, regulations, etc.) as well as all internal company rules and employer’s directives.
• Take a zero-tolerance stance toward the commission of any criminal activity—not only when committed in the name or for the benefit of SATES ČECHY s.r.o., but also towards third parties.
• In performing everyday work duties, protect the legitimate interests of the employer.
• Commit to the principles of sustainability and comply with regulations on occupational safety, health protection, and environmental protection.
• In accordance with internal regulations, protect all tangible and intangible company property against devaluation, especially against damage, theft, waste, or misuse.
• Perform work responsibly and with due care.
• In off-duty activities, act so as not to damage the employer’s good name.
• Maintain confidentiality regarding sensitive information we come into contact with.
• Remain loyal to the company; protect the employer’s good name and reputation.
• Immediately inform the employer of any outside activities and relationships that could be assessed as a conflict of interest (additional gainful employment, private activities including political functions, etc.).
• Oppose corruption in all forms, including bribery and extortion.
• When communicating on social networks from a private profile, do not speak on behalf of the company and do not share internal information of the company or its business partners.

• In our decision-making we maintain impartiality, support fair competition, and prevent conflicts of interest.
• We do not tarnish the reputation of competitors; we conduct advertising campaigns fairly.
• We act honestly and with respect.
• We provide truthful information.
• We act proactively.
• We resolve disagreements amicably.
• We safeguard the sensitive data of our partners.
• We respect the Charter of Fundamental Rights and Freedoms and applicable legislation.

V. Company Principles in Relation to the Public

• As part of social responsibility, we provide donations to charitable and interest organizations.
• We comply with standards and regulations governing our business areas and environmental protection.
• We provide timely, truthful, and accurate information about the company’s economic results.

VI. Company Principles in Relation to Suppliers

• We act honorably with suppliers.
• We select them in accordance with the rules of fair competition.
• We observe payment discipline towards our business partners.
• We resolve disagreements amicably.

VII. Final Provisions

This Code of Ethics is binding on all employees of SATES ČECHY s.r.o. Conduct by employees that is in direct contradiction with this Code of Ethics may be considered a serious breach of work duties and will give rise to employment-law consequences. If an employee notices behaviour that is contrary to this Code, they shall notify the company’s management or their direct superior.
